Terms of Service

These Terms of Service ("Terms") constitute a legal agreement between you ("Founding Member" or "Subscriber") and Cognitive AI-Cloud Systems Ltd, incorporated in the Federal Republic of Nigeria under Registration Number RC-7968772, operating the CogniMate AI platform at cognimateai.com ("CogniMate", "we", "us"). By joining the waitlist or activating a subscription, you accept these Terms in full.

Joining the founding waitlist reserves your place in the first cohort of CogniMate subscribers and locks your tier pricing as displayed at the time of signup. Waitlist participation is free and carries no payment obligation. Your waitlist position does not guarantee platform access if demand exceeds capacity before your tier is activated; in that event, you will be notified and given priority access to the next cohort.

The platform launches on June 3, 2026 at 12:00 PM EST. Founding members receive first access before any public rollout.

Depending on your tier, CogniMate delivers between 20 and 250 AI video packs per month, plus blog content, trend research, and platform tooling as described in your tier specification. Delivery timelines are based on pipeline capacity; we target delivery within the calendar month of the billing cycle.

"AI video packs" refers to scripted, produced, and platform-ready video content generated by our Azure-hosted multi-model pipeline. Aesthetic and editorial quality is subject to the inputs you provide — CogniMate optimises within those parameters.

All content produced by your CogniMate subscription pipeline — videos, scripts, thumbnails, and associated assets — is your property. You retain full ownership and may publish, monetise, or repurpose it without restriction.

The CogniMate platform, its codebase, AI orchestration architecture, brand assets, and underlying models remain the exclusive intellectual property of Cognitive AI-Cloud Systems Ltd. You are granted a non-exclusive, non-transferable licence to use the platform during an active subscription.

You agree not to use CogniMate to generate content that: is defamatory, fraudulent, or violates applicable law; infringes third-party intellectual property; constitutes harassment, hate speech, or targeted misinformation; or is designed to deceive audiences about AI involvement where disclosure is legally required.

We reserve the right to suspend accounts that materially breach this clause. We will provide written notice and a reasonable opportunity to remedy before suspension, except in cases of serious or repeated violation.

CogniMate is provided as a SaaS platform with commercially reasonable uptime targets. We do not guarantee specific content performance outcomes — views, engagement, or revenue generated from AI content depend on factors outside our control.

To the maximum extent permitted by law, our aggregate liability to you for any claim arising under these Terms is limited to the total subscription fees paid by you in the 3 months preceding the claim.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. If you are accessing CogniMate from outside Nigeria, applicable local consumer protection laws may provide additional rights that these Terms do not limit.

We will provide at least 30 days' written notice by email before making material changes to these Terms. Continued use of the platform after the notice period constitutes acceptance. If you do not accept the revised Terms, you may cancel your subscription without penalty within the notice window.
